General Terms and Conditions (GTC) Online Shop of German Secure Tec Solutions GmbH – E-cables

1. General

All deliveries and services provided through the online shop ecables, operated by German Secure Tec Solutions GmbH, are exclusively governed by the following General Terms and Conditions (GTC).

These terms apply to all business relationships with customers who are entrepreneurs within the meaning of §14 BGB, acting in the exercise of their commercial or independent professional activity.

Any deviating or conflicting terms and conditions of the customer shall not apply unless explicitly confirmed in writing by German Secure Tec Solutions GmbH. These GTC shall also apply to all future business transactions, even if they are not expressly agreed again.

Orders placed through the ecables online shop may be delivered to delivery addresses within the European Union, unless otherwise agreed individually.

2. Offer and Conclusion of Contract

All product offers presented in the online shop are non-binding and subject to change.

A contract is concluded when the customer places an order via the online shop and the order is accepted by German Secure Tec Solutions GmbH through:

a written order confirmation,
electronic confirmation, or
shipment of the ordered goods.

The order process in the online shop works as follows:

Customers may add products to the shopping cart via the product page. The shopping cart allows reviewing and modifying the order. By completing the checkout process and submitting the order, the customer makes a binding purchase offer. The contract becomes effective upon confirmation or shipment.

Order data is stored within the customer account where available. The text of the contract itself is not permanently stored but these GTC remain accessible via the website.

Statements in brochures, marketing materials, advertisements or product descriptions do not constitute legally binding guarantees regarding product characteristics unless explicitly confirmed in writing.

Employees or representatives of German Secure Tec Solutions GmbH are not authorized to make agreements deviating from these GTC without written confirmation.

If cost increases (e.g., raw materials, transport, labor, taxes) occur between contract conclusion and delivery, German Secure Tec Solutions GmbH reserves the right to adjust prices accordingly where delivery occurs more than four months after the contract conclusion.

3. Delivery Dates and Deadlines

Delivery dates specified by German Secure Tec Solutions GmbH are non-binding estimates, unless explicitly confirmed as binding.

Delivery periods begin only after:

all technical details have been clarified,
all required documentation has been received,
all approvals have been granted.

Delays caused by the customer extend the delivery period accordingly.

A delivery deadline is considered met if:

the goods are dispatched within the deadline, or
readiness for dispatch has been communicated.

German Secure Tec Solutions GmbH reserves the right to make partial deliveries where reasonable.

Delivery obligations are subject to correct and timely supply by upstream suppliers.

In case of force majeure, including but not limited to war, strikes, riots, supply disruptions, transport interruptions or other unforeseeable circumstances beyond our control, delivery deadlines shall be extended accordingly.

4. Shipping and Transfer of Risk

Unless otherwise agreed, deliveries are made ex works (EXW).

Risk transfers to the customer once the goods have been handed over to the shipping carrier.

Transport insurance will only be arranged upon explicit request of the customer and at the customer’s expense.

5. Software and Digital Products

If software is delivered with products, the customer receives a non-exclusive and non-transferable license to use the software solely in connection with the delivered product.

The customer may not copy, modify or distribute the software except for one backup copy.

All copyright notices and identifying marks must remain intact.

The customer must take reasonable measures to prevent unauthorized access to software or documentation by third parties.

6. Liability

German Secure Tec Solutions GmbH shall not be liable for loss of profit or indirect damages.

Compensation for delays shall be limited to 1% of the order value per week, up to a maximum of 10% of the total order value.

These limitations do not apply in cases of:

intentional misconduct
gross negligence
injury to life, body or health
violations of essential contractual obligations.

Liability under the German Product Liability Act (ProdHaftG) remains unaffected.

Liability for data loss is limited to the typical recovery costs that would have occurred with proper data backup procedures.

7. Warranty and Defects

Customers must inspect delivered goods immediately and notify any defects without undue delay.

In case of justified defects, German Secure Tec Solutions GmbH may choose between:

repair of the defective product, or
replacement delivery.

If supplementary performance fails after two attempts, the customer may:

withdraw from the contract, or
reduce the purchase price.

No warranty shall apply in cases of:

normal wear and tear
improper use
unauthorized modifications
installation of non-approved components.

8. Payment Terms

Invoices are issued upon shipment of the goods.

Payments are due within 14 days net from the invoice date unless otherwise agreed.

In case of late payment, statutory default interest and a fixed compensation fee of EUR 40 may be charged.

Payments shall first be applied to the oldest outstanding invoices.

Offsetting is only permitted against undisputed or legally established claims.

9. Retention of Title

All delivered goods remain the property of German Secure Tec Solutions GmbH until all outstanding claims arising from the business relationship have been paid in full.

Customers are permitted to resell goods in the ordinary course of business but may not pledge or assign them as security.

Claims arising from resale are hereby assigned to German Secure Tec Solutions GmbH up to the amount of the original invoice value.

10. Intellectual Property

All documents, drawings, product information and technical materials provided by German Secure Tec Solutions GmbH remain the intellectual property of the company and may not be shared with third parties without written consent.

The company reserves the right to make technical improvements or design modifications to products.

11. Export Regulations

Customers are responsible for ensuring compliance with export control regulations, including EU export control laws and international sanctions.

Contract performance is subject to applicable national and international export control regulations and embargo provisions.

12. Sanctions Compliance

The buyer shall not sell, export or re-export goods supplied under this agreement to countries or regions subject to international sanctions where such actions would violate EU regulations.

In particular, the buyer shall comply with all applicable EU sanctions regulations relating to the Russian Federation and Belarus.

Violations of these obligations constitute a material breach of contract.

13. Customer Communication

If a customer has purchased goods or services from German Secure Tec Solutions GmbH, the company may send information about similar products or services via email.

Customers may object to this communication at any time by using the unsubscribe option in the email or contacting the company directly.

14. Place of Performance and Jurisdiction

The place of performance for all contractual obligations is Neuss, Germany.

The place of jurisdiction for all disputes arising from the contractual relationship shall be the competent courts in Germany, provided the customer is a merchant.

German law shall apply exclusively.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
